These Terms of Service (“Terms”) govern your access to and use of the website operated by Trikaidia Capital Advisors Inc. (“Trikaidia”, “we”, “our”, or “us”) and any related online content, tools, or materials made available through the website (collectively, the “Website”).
By accessing or using the Website, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Website.
1. Nature of Our Services
Trikaidia is a project-financing advisory and consulting firm. We:
Provide strategic advice and support to project developers and owners;
Help assess project bankability and financing readiness; and
Assist with preparing materials and positioning projects for potential institutional financing.
We do not ourselves provide loans, securities, deposits, or any regulated financial products, and we do not accept or hold client funds in trust.
All information on the Website is provided for general information and educational purposes only and does not constitute:
Legal, financial, investment, tax, or accounting advice;
A recommendation or endorsement of any financing structure, product, or counterparty; or
An offer or solicitation to buy or sell any security or financial instrument.
Any engagement of Trikaidia for advisory work will be governed by a separate written engagement agreement between you and Trikaidia and will prevail over these Terms in the event of a conflict.
2. Eligibility
By using the Website, you represent and warrant that:
You are at least 18 years of age (or the age of majority in your province or territory of residence); and
You have the authority to enter into these Terms on your own behalf or on behalf of the organization you represent.
If you do not meet these requirements, you must not use the Website.
3. Use of the Website
You may use the Website only for lawful purposes and in accordance with these Terms. You agree that you will not:
Use the Website in any way that violates applicable laws or regulations (including Canadian privacy, anti-spam, or securities laws).

4. No Client Relationship & No Guarantee of Financing
Your use of the Website does not create a client, advisory, fiduciary, or agency relationship between you and Trikaidia. Such a relationship only arises if and when you sign a formal engagement agreement with us.
Trikaidia does not represent, warrant, or guarantee that:
Any project will meet institutional financing criteria;
Any lender or investor will agree to provide financing;
Financing will be available on particular terms, in a particular amount, or within a particular timeframe.
All credit and investment decisions are made solely by the relevant third-party lenders or investors, not by Trikaidia.
5. Accounts and Submissions
Certain features of the Website may allow you to submit information or request that we contact you (for example, through a contact form or email).
You agree that:
All information you provide is true, accurate, and complete to the best of your knowledge;
You have the right to share any project or corporate information you submit; and
You will promptly update us if material information changes.
You are responsible for maintaining the security of any login credentials or devices you use to access the Website and for all activity carried out using them.
6. Intellectual Property

If you choose to provide comments, ideas, or suggestions about the Website or our services (“Feedback”), you agree that Trikaidia may use such Feedback without restriction or compensation and that Trikaidia will own all resulting intellectual property rights.

The Website may include links to third-party websites or resources. These are provided solely for convenience and informational purposes.
Trikaidia:
Does not control and is not responsible for the content, security, or privacy practices of third-party sites; and
Does not endorse or guarantee any third-party products, services, or information.
Your use of third-party sites is at your own risk and subject to those sites’ own terms and policies.

Your use of the Website is also governed by our Privacy Policy, which explains how we collect, use, and disclose personal information in accordance with Canadian privacy laws.

To the extent that Trikaidia is found liable to you notwithstanding the foregoing, our aggregate liability for all claims arising out of or relating to the Website shall not exceed CAD $1,000.
Some jurisdictions do not allow limitations of certain types of liability; in such cases, the above limitations apply only to the extent permitted by applicable law.
12. Indemnity
You agree to indemnify and hold harmless Trikaidia, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

13. Governing Law and Jurisdiction
These Terms and your use of the Website are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to conflict-of-law rules.
You agree that any disputes arising out of or relating to these Terms or the Website will be subject to the exclusive jurisdiction of the courts of Ontario, Canada, and you irrevocably submit to the jurisdiction of such courts.
